Terms of Service

These Master Terms of Service ("Terms") govern the enterprise deployment and usage of the Ibra Agent platform and associated AI agents ("Service"). By licensing the Service, your organization agrees to these terms.

1. Enterprise Agreement

By executing an order form, registering an account, or authenticating via API, the authorized organizational representative agrees to be legally bound by these B2B Terms of Service.

2. Service Provisioning

Ibra Agent grants a non-exclusive, non-transferable enterprise license to utilize our AI conversational automation tools, catalog integrations, and analytics dashboard.

3. Acceptable Use and Compliance

Clients are strictly prohibited from: • Utilizing the platform to process regulated Protected Health Information (PHI) unless explicitly covered by a Business Associate Agreement (BAA). • Generating or distributing illicit, deceptive, or malicious content. • Circumventing platform security, API rate limits, or tenant isolation measures. • Violating the Meta Developer Policies or WhatsApp Business Terms of Service.

4. Data Ownership and Licensing

Clients retain 100% ownership of all uploaded proprietary data and intellectual property. Clients grant Ibra Agent a limited, revocable license to process this data exclusively for providing and optimizing the requested Service.

5. SLA and Availability

Ibra Agent targets a 99.9% uptime SLA for enterprise tiers. Scheduled maintenance windows will be communicated 48 hours in advance. Liability for disruptions is capped in accordance with the enterprise service agreement.

6. Meta Platform Obligations

The Service relies on official integrations with Meta. Clients must independently maintain compliance with Meta's evolving terms. Ibra Agent assumes no liability for service degradations arising directly from Meta API deprecations, bans, or policy enforcement actions.

7. Liability and Indemnification

Under no circumstances shall Ibra Agent be liable for consequential, incidental, or special damages, including lost revenue or data, exceeding the total processing fees paid by the Client in the preceding 12 months. Clients agree to indemnify Ibra Agent against third-party claims arising from their misuse of the Service.

8. Governing Law

These terms shall be exclusively governed by the applicable commercial laws. Disputes will be subject to binding arbitration before any formal litigation proceedings.
